The Perpetual Futures Migration: Kalshi's Proposal and the Structural Limits of Regulatory Arbitrage

The SEC docket number SR-KALSHIEX-2026-02 indicates a filing that the market has largely ignored. Over the past week, no major crypto asset moved more than 2% on this news. The silence is telling. Kalshi, the CFTC-regulated exchange known for event contracts, has formally proposed listing perpetual futures on US equities and ETFs. This is not a new technology. It is a regulatory navigation attempt for an existing mechanism. The critical variable is not whether perpetual contracts work; the crypto market has proven that for nearly a decade. The variable is whether the US regulatory apparatus can accommodate a product that blurs the lines between commodities and securities without fracturing its own jurisdictional foundations. The proposal's technical architecture is a study in market design adaptation. Kalshi is transplanting the funding rate mechanism from BitMEX's 2016 innovation into the equity derivatives space. The mechanism of funding rates maintains price parity between the perpetual contract and the underlying asset by periodically exchanging payments between long and short positions. In crypto, this operates on an 8-hour cycle, a cadence that matches the market's 24/7 nature. Kalshi's filing does not disclose whether it will adopt this crypto-native cadence or conform to the traditional end-of-day settlement used by CME, creating a technical ambiguity that is itself a risk vector. The exchange's matching engine and risk management systems remain unpublished, meaning the industry has no data to assess whether the platform can handle the liquidity depth of the NASDAQ or the NYSE during a flash crash analogous to August 2024. I have audited systems with similar structural gaps. A proposal that omits technical specifications while seeking to introduce a novel product into a systemically important market is either incomplete or under-resourced. The market context is critical to understand the actual impact. Kalshi is not competing with dYdX or Hyperliquid for retail crypto traders; it is competing with CME for institutional flow. CME's micro E-mini contracts settle monthly or quarterly, creating a known roll-over cost for traders who wish to maintain a continuous position. Perpetual futures eliminate this cost by design. The trade-off is a new dependency on the funding rate mechanism to anchor price discovery to the spot market. In crypto, this works because the perpetual market itself becomes the dominant price discovery venue. In equities, the spot market is infinitely deeper and faster. This creates the core technical challenge: will the funding rate mechanism be able to correctly anchor to a market where the perpetual contract is the minority player? Based on my audit of Curve's stablecoin pools, I have observed that parameterized mechanisms designed for one market structure often fail when transplanted into another. The risk of price divergence increases dramatically. If the funding rate basis is too small, the mechanism is ineffective. If it is too large, it creates arbitrage and wash-trading opportunities that distort the underlying. The regulatory landscape is where this proposal either gains value or becomes a historical footnote. The filing with the SEC, not just the CFTC, acknowledges the jurisdictional ambiguity. A perpetual contract on a stock index is a security derivative, but the mechanics of funding rates and perpetual settlement do not fit neatly into the CFTC's traditional division of authority. The SEC's Howey Test analysis is not straightforwardly applicable: there is an investment of money with an expectation of profit, but the resulting profit is not derived from Kalshi's managerial efforts; it is derived from market movements. This suggests the product will be classified as a futures contract under the joint jurisdiction of both agencies. However, the review timeline is the primary risk. The CFTC and SEC must coordinate their review, and cross-agency coordination on novel products can span quarters, not weeks. The market has prematurely priced the proposal as a near-term catalyst. This is an expectation gap. The filing is a regulatory artifact, not a product launch. There is a contrarian case worth articulating. If Kalshi receives approval, the product will serve a verifiable structural need. The CME's event contracts and its established institutional infrastructure mean that demand for continuous, non-expiring exposure exists in the traditional market. Traders currently using dated futures face the inefficiency of rolling positions. Perpetual futures solve this problem. The approval would also create a regulatory precedent that could legitimize the broader category of crypto-native financial mechanisms in the US. It would be a demonstrative signal to dYdX, Hyperliquid, and the broader DeFi sector that the compliance route is viable. However, this is a speculative long-term scenario. The immediate reality is a cold start. A new venue with a new product typically lacks liquidity. Kalshi will need to secure market makers from the traditional financial sector, likely from the same high-frequency trading firms that dominate crypto markets, such as Jump or Wintermute. Their motivation is unclear because the equity perpetual market is unproven. Arbitrage exists only in structural inefficiency, and the initial inefficiencies of a new venue may not be large enough to attract liquidity providers. This proposal is best understood as a long-term signal, not a short-term catalyst. It occupies a position at the intersection of computational complexity and economic security, where the innovation is not in the technology but in the attempt to bridge the gap between the crypto and TradFi regulatory estates. The proposal's success depends on the resolution of the jurisdictional question. If the SEC and CFTC can agree on a framework, Kalshi will capture the first-mover advantage in a market that is structurally under-served. If they cannot, the proposal will be postponed, and the risk of narrative fatigue will grow. The market will eventually see this for what it is: a test case for whether the US regulatory system can accommodate the next generation of financial instruments. The answer to that question is not determined by code; it is determined by the pace of bureaucratic coordination. Ledger integrity precedes market sentiment. Stability is a calculated illusion. The market should not wait for the approval to evaluate the mechanics; it should be scrutinizing the technical specifications and the regulatory interaction now. The public commentary period, when it opens, will reveal the concerns of the incumbent exchanges. That will be the first real data point.
