0.1494: The Execution Price That Confessed — Inside Jingwei Tiandi's HK$107 Million Distribution

An average execution price of HKD 0.1494 is not a number a human being types into a terminal.

Negotiated blocks clear at round numbers — 0.15, 0.148, 0.145. Four decimals is a computed output. It is what falls out of a broker's execution report after a volume-weighted schedule has been run across hundreds of prints and the total notional divided by the share count. Nobody negotiates 0.1494. Somebody's algorithm produced it.

0.1494: The Execution Price That Confessed — Inside Jingwei Tiandi's HK$107 Million Distribution

On the evening of October 21, Jingwei Tiandi (02477.HK) disclosed to the Hong Kong exchange that its major shareholder, Hengfeng International, had sold 716 million shares in the open market at an average of HKD 0.1494. Gross proceeds: roughly HKD 107 million. Stake: 24.94% down to 10.01%.

716 million shares. Open market. Not a placing. Not a block. Not a bought deal. The order book absorbed it.

Liquidity didn't leave the building. It changed hands — and the hand it changed into left a fingerprint.

That single line of disclosure carries more signal about the state of Hong Kong's small-cap narrative trade than anything published this quarter. Here is how to read it, and why it matters to anyone holding a digital-asset position anywhere in the world.

Context: who sold, and into what

Hengfeng International is controlled by Qian Fenglei, who holds 78.56% of it. That detail is not decorative — it converts a corporate action into a personal one. Qian's look-through economic interest in the listed issuer moves from 19.59% (0.2494 × 0.7856) to 7.86% (0.1001 × 0.7856). A 60% cut in his effective exposure, executed inside one disclosed window, at a price he set by selling.

The timing is the part most readers will skim past. Jingwei Tiandi was admitted to Stock Connect in March this year. Seven months later, the controlling chain distributed 60% of its holding into the open market. That is not a coincidence window. That is an incubation window.

Southbound Stock Connect is the mechanism that matters. When a Hong Kong small cap is admitted to the southbound list, a bid appears that did not previously exist — mainland retail flow, quasi-institutional flow, and index-tracking money that is structurally indifferent to what the company actually does. That bid is real money. It is also, by construction, an exit liquidity event for whoever was already holding.

The regulatory backdrop is not quiet. Caixin reported that a senior financial observer in Hong Kong flagged the low-priced reduction and cash-out as raising suspicions of ulterior motives, and noted it cannot be ruled out that the sale relates to recent market manipulation investigations by the Securities and Futures Commission. I want to be precise about what that means and what it does not. It is an observation, not a finding. The SFC has been running a visible enforcement cycle against suspected ramp-and-dump activity in the small-cap segment for two years. Whether this specific tape is inside that cycle is unproven.

Here is the frame I use, and it is the frame that makes this a blockchain story rather than a Hong Kong equities story. Over the past two years, a growing slice of the Hong Kong small-cap market has repriced itself around digital-asset language — treasury strategies, Web3 pivots, tokenisation mandates, custody ambitions. The announcements are cheap. The float is not. In a bear market, the only event that carries information is distribution. You do not need to know what a company says it is building. You need to know who is selling, at what price, through which venue, on what schedule.

That is the entire discipline. Everything else is narrative.

Core: reconstructing the trade from two percentages

The arithmetic is public. Run it.

Two disclosed percentages and one share count are enough to rebuild the cap table. I do this reflexively now, the same way I audited Geth client scripts during the Ethereum 2.0 beacon chain sprint in late 2017 — you do not trust the summary, you trust the numbers that regenerate the summary.
